(b) Pursuant to notice given May 30, 2008, Rural/Metro Corporation (the “Company”) has agreed to terminate the employment of Gregory A. Barber, Vice President and Controller, pursuant to Section 5(b) – Termination Without Cause – of his employment agreement. This contract was filed with the Securities and Exchange Commission as Exhibit 10.79 to our Annual Report on Form 10-K for the fiscal year ended June 30, 2006.
