Explanatory Note: This Amendment No. 3 amends the Registration Statement on Form 8-A of QRS Corporation (the “Company”) filed with the Securities and Exchange Commission (the “SEC”) on October 18, 2002, as amended by Amendment No. 1 to Form 8-A of QRS Corporation filed with the SEC on February 20, 2003 and by Amendment No. 2 to Form 8-A of QRS Corporation filed with the SEC on June 17, 2004. All capitalized terms not defined herein will have the meanings ascribed to such terms in the Rights Agreement, dated as of October 17, 2002, between the Company and Mellon Investor Services LLC, as amended on February 18, 2003 and June 17, 2004.
Item 1. Description of Registrant’s Securities to be Registered.
On September 2, 2004, the Board of Directors of the Company adopted the Third Amendment to the Rights Agreement (the “Third Amendment”) which renders the Rights inapplicable to the transactions contemplated by the Agreement and Plan of Merger, dated as of September 2, 2004, by and among the Company, Inovis International, Inc., a Delaware corporation, and EDI Merger Corp., a Delaware corporation.
