BOYD GAMING CLOSES
$500 MILLION SENIOR NOTE OFFERING
LAS VEGAS — NOVEMBER 10, 2010 — Boyd Gaming Corporation(NYSE: BYD) today announced that it has closed its previously announced offering of $500 million aggregate principal amount of 9.125% senior notes due 2018. Interest on the senior notes is payable semi-annually on December 1 and June 1 of each year, commencing June 1, 2011. The senior notes will mature on December 1, 2018 and are fully and unconditionally guaranteed by certain of the Company’s current and future domestic restricted subsidiaries.
The Company is using a portion of the net proceeds from the offering to finance a tender offer and related consent solicitation announced on October 26, 2010 for any and all of its outstanding 7.75% senior subordinated notes due 2012, subject to the satisfaction of certain conditions. The Company intends to apply the balance of the net proceeds from the offering to repay a portion of the outstanding revolving balance on its bank credit facility and to potentially refinance other existing indebtedness. The Company could also use a portion of the net proceeds from the offering for general corporate purposes.
The senior notes have not been, and will not be, registered under the Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws or blue sky laws, and may not be offered or sold in the United States absent registration under the Securities Act and applicable state securities laws or available exemptions from the registration requirements. This announcement shall not constitute an offer to sell or the solicitation of an offer to buy the senior notes.
