1. The Restricted Stock Units were granted to the Reporting Person for no consideration under Issuer's 2020 Stock Incentive Plan. Each Restricted Stock Unit represents a contingent right to receive one share of Issuer common stock.

2. Restricted Stock Units are fully vested upon grant and will be paid in shares of Issuer common stock upon cessation of services on the Board of Directors.
