1. Mr. Pearlman was granted 25,000 shares of restricted stock under the 2005 Equity Incentive Plan, which vested on February 5, 2018. On February 5, 2018, 12,914 shares of common stock were withheld (at the closing price of the Company's common stock on the NASDAQ Global Market on Monday, February 5, 2018) to satisfy the tax obligation relating to the vesting of the restricted stock pursuant to Section 16b-3(e) under the Securities Exchange Act of 1934.
