ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On July 7, 2005, at OXiGENE, Inc.’s (the “Company”) Annual Meeting of Stockholders, the Company’s stockholders approved the OXiGENE, Inc. 2005 Stock Plan (the “Stock Plan”). The Stock Plan authorizes the grant of up to 2,500,000 shares of the Company’s Common Stock for the issuance of incentive stock options to employees of the Company and non-qualified stock options, restricted and unrestricted stock grants and other stock-based awards to employees, directors and consultants of the Company. A copy of the Stock Plan is filed pursuant to this Item 1.01 as Exhibit 99.1 to this Current Report on Form 8-K.
