Item 1.01 Entry into a material definitive agreement.
On July 25, 2006, NB&T Financial Group, Inc., issued a press release announcing a series of restructuring initiatives, including the execution of an agreement to sell its branch located in Ada, Ohio. A copy of the press release describing such initiatives and branch sale is attached to this Report as Exhibit 99.1 and incorporated herein by reference.
