ITEM 8. CHANGE IN FISCAL YEAR
On July 22, 2003 the registrant’s board of directors approved a change in the registrant’s fiscal year end from March 31 to the last Saturday in March, beginning with the registrant’s 2004 fiscal year. In light of the short duration of the transition period created by this change, no transition report will be filed. The closing dates for the first three quarters in future fiscal years will remain unchanged.
ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On July 29, 2003, the registrant issued a press release addressing results for its first fiscal quarter ended June 30, 2003. In conjunction with that press release, the registrant conducted a conference call on July 29, 2003 to discuss those preliminary results with investors and financial analysts.
That press release, dated July 29, 2003 and titled “Asyst Technologies Reports Results for First Quarter of Fiscal 2004” is attached hereto as Exhibit 99.1. A transcript of that conference call is attached hereto as Exhibit 99.2.
