Item 2.02. Results of Operations and Financial Condition.
On January 31, 2006, the Registrant issued a press release addressing consolidated financial results for its fiscal third quarter ended December 31, 2005. That press release, dated January 31, 2006 and titled “Asyst Technologies Reports GAAP Net Income, Improved Results for Third Quarter of Fiscal 2006” is attached hereto as Exhibit 99.1.
In conjunction with that press release, the Registrant conducted a conference call on January 31, 2006 to discuss those results with investors and financial analysts. A transcript of that conference call is attached hereto as Exhibit 99.2.
