Item 1.01 | Entry into a Material Definitive Agreement. |
On March 31, 2006, Hanover Compressor Company (“Hanover”) completed the public offering of $150 million aggregate principal amount of 71/2% Senior Notes due 2013 (the “Notes”), which are fully and unconditionally guaranteed on a senior subordinated basis by Hanover Compression Limited Partnership (“HCLP”). The Notes were issued under a Senior Indenture, dated as of December 15, 2003, between Hanover and Wachovia Bank, National Association, as trustee (the “Trustee”), as supplemented by the Fourth Supplemental Indenture, dated as of March 31, 2006, among Hanover, HCLP and the Trustee. The Senior Indenture was filed with the Securities and Exchange Commission (the “Commission”) on December 15, 2003 as Exhibit 4.1 to Hanover’s and HCLP’s Registration Statement on Form 8-A. A copy of the Fourth Supplemental Indenture is filed herewith as Exhibit 4.1 and incorporated by reference herein.
The material terms of the Notes are described in the prospectus supplement, dated March 27, 2006, as filed by Hanover and HCLP with the Commission on March 28, 2006 pursuant to Rule 424(b)(5) of the Securities Act of 1933, which relates to the offer and sale of the Notes and supplements the prospectus dated March 24, 2006. Hanover and HCLP registered the sale of the Notes and the underlying guarantee with the Commission pursuant to a Registration Statement on Form S-3 (Registration No. 333-132672) (the “Registration Statement”).
