Item 9. Regulation FD Disclosure.
On February 27, 2003, NetManage, Inc. filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2002 with the Securities and Exchange Commission (the “Annual Report”). Accompanying the Annual Report were certifications of NetManage’s Chief Executive Officer, Zvi Alon, and Chief Financial Officer, Michael Peckham, pursuant to Section 906 of the Sarbanes-Oxley Act of 2002, codified at 18 U.S.C. §1350. A copy of the certifications is attached hereto as an Exhibit.
The foregoing certifications are being furnished solely to accompany NetManage’s Annual Report, and are not being filed either as part of that Annual Report or as a separate disclosure statement, and are not to be incorporated by reference into that Annual Report or any other filing of NetManage, whether made before or after the date hereof, regardless of any general incorporation language in such filing.
