Explanation of Responses:

1. The number of shares held directly includes certain shares that were previously held by Stock Awards and that have subsequently vested.

2. The remaining 2,000 shares, granted under Stock Award on July 22, 2014 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest on July 22, 2019.

3. The remaining 1,200 shares, granted under Stock Award II on May 1, 2015 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in two equal annual installments commencing on May 1, 2019.

4. The remaining 1,800 shares, granted under Stock Award III on May 1, 2016 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in three equal annual installments commencing on May 1, 2019.

5. The remaining 2,400 shares, granted under Stock Award IV on April 1, 2017 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in four equal annual installments commencing on April 1, 2019.

6. 3,000 shares, granted under Stock Award V on February 15, 2018 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in five equal annual installments commencing on February 15, 2019.
