On May 18, 2023, Regency Centers Corporation (“
Regency
”) and Urstadt Biddle Properties Inc. (“
UBP
”) issued a joint press release announcing that the two companies have entered into a definitive merger agreement (the “
Merger Agreement
”) by which Regency will acquire UBP in an
all-stock
