On April 27, 2012, Robert M. Grace, Jr. resigned as the Registrant’s Vice President, General Counsel and Secretary, effective immediately. Consistent with its succession planning, the Registrant has appointed Andrew M. Johnson as Mr. Grace’s successor to the office of Vice President, General Counsel and Secretary.
