On March 2, 2020, Mobile Mini, Inc. (“Mobile Mini” or the “Company”) and WillScot Corporation, a Delaware corporation (“WillScot”), issued a joint press release announcing the entry into an Agreement and Plan of Merger, dated March 1, 2020 (the “Merger Agreement”), among the Company, WillScot and Picasso Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of WillScot (“Merger Sub”), pursuant to which Mobile Mini will combine with WillScot.
A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein in its entirety by reference.
