Item 8.01. Other Events.
On July 21, 2010, RF Micro Devices, Inc. (“RFMD”) announced that it had repurchased and retired $100 million aggregate principal amount of its convertible subordinated notes due 2012 (the “2012 Notes”), equal to 51% of all outstanding 2012 Notes. In addition, RFMD also announced that it had retired $10 million aggregate principal amount of its convertible subordinated notes due 2010 (the “2010 Notes”) at maturity, equal to 100% of all outstanding 2010 Notes. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
