Item 9. Regulation FD Disclosure
On October 22, 2003, a plaintiff filed suit in the District Court for the Northern District of California against the Company and certain of its former and current officers and directors on behalf of a purported class of participants in the Company’s 401(k) Plan from February 4, 2000, to the filing of the lawsuit. The action is captionedPettit v. JDS Uniphase Corp.,No. C 03 4743. It alleges that the defendants violated the Employee Retirement Income Security Act by breaching their fiduciary duties to the Plan and its participants. The action seeks an unspecified amount of damages, restitution, a constructive trust, and other equitable remedies. The plaintiff has filed a notice of related case stating his view that the action is related to the securities class action pending against the Company and certain former officers and directors that has been dismissed with leave to amend, which we have disclosed in our previous public securities filings. No trial date has been set in the new action.
