Item 12. Results of Operations and Financial Conditions
On July 28, 2004, JDS Uniphase Corporation (the “Registrant”) reported the results of operations for its fiscal fourth quarter and year end ended June 30, 2004. A copy of the press release issued by the Registrant concerning the foregoing results is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Specifically, the Registrant believes the non-GAAP results provide useful information to both management and investors by identifying certain expenses, gains and losses that, when excluded from the GAAP results, may provide additional understanding of the Registrant’s core operating results or business performance. However, these non-GAAP financial measures are not intended to supersede or replace the Registrant’s GAAP results. A detailed reconciliation of the GAAP results to the non-GAAP results is provided in the “Non-GAAP Condensed Consolidated Statements of Operations” schedules of the results furnished herewith as Exhibit 99.1.
