Explanation of Responses:

1. Each unit converts upon vesting into one share of common stock.

2. The Units subject to the Award shall vest over three years with 33% vesting after one year and quarterly over the remaining two years. The first installment became vested on August 22, 2013.

3. The Units subject to the Award shall vest over three years with 33% vesting after one year and quarterly over the remaining two years. The first installment became vested on August 20, 2014.

4. 1/3rd of the Units subject to the Award shall vest on the first anniversary of the Vesting Commencement Date, and 1/3rd of the Units subject to the Award shall vest on each anniversary of the Vesting Commencement Date thereafter. The Vesting Commencement Date is February 15, 2014.

5. The Units subject to the Award shall vest over three years with 33% vesting after one year and quarterly over the remaining two years. The first installment shall vest on August 20, 2015.

6. 1/3rd of the Units subject to the Award shall vest on the first anniversary of the Vesting Commencement Date, and 1/3rd of the Units subject to the Award shall vest on each anniversary of the Vesting Commencement Date thereafter. The Vesting Commencement Date is February 15, 2015.
