Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 16, 2006, JDS Uniphase Corporation (the “Company”) filed a Certificate of Amendment to the Restated Certificate of Incorporation of the Company with the Secretary of State of the State of Delaware to effectuate the previously approved reduction in the number of authorized shares of the Company’s common stock and the one-for-eight reverse stock split of the Company’s outstanding common stock. The Certificate of Amendment was effective at 11:59 p.m., Eastern Daylight Saving Time, on October 16, 2006.
A copy of the Certificate of Amendment is attached hereto as Exhibit 3.2 and is incorporated herein by reference.
