1. Restricted stock. 2,000 of the shares are subject to time vesting; 400 of these time vesting shares vest on each of March 4, 2025, 2026, 2027, 2028 and 2029. 3,000 of the shares are subject to performance vesting based on certain market and financial performance criteria.
