Item 5.07 Submission of Matters to a Vote of Security Holders.
The special meeting of stockholders of Sinclair Broadcast Group, Inc. (the “Company”) was held on May 24, 2023. At the meeting, one proposal, as set forth in the Company’s joint proxy statement/prospectus on Schedule 14A previously filed with the U.S. Securities and Exchange Commission on April 26, 2023, was submitted to the stockholders for a vote.
Proposal 1: Approval of the Agreement of Share Exchange and Plan of Reorganization among Sinclair Broadcast Group, Inc., Sinclair, Inc., and Sinclair Holdings, LLC and the share exchange described therein.
In response to Proposal 1, the stockholders approved the Agreement of Share Exchange and Plan of Reorganization among Sinclair Broadcast Group, Inc., Sinclair, Inc., and Sinclair Holdings, LLC and the share exchange described therein.
