2. Designates withholding of shares to satisfy the Reporting Person's tax liability.

3. The total number of shares released to the Reporting Person was 8,260 shares of Class A Common Stock issued as Restricted Stock of which 4,206 shares were withheld by the issuer to satisfy the Reporting Person's tax liability.
