Item 2.02. Results of Operations and Financial Condition.
On October 28, 2004, West Marine, Inc. announced its consolidated financial results for the third quarter ended October 2, 2004. A copy of this press release is attached hereto as Exhibit 99.1.
The press release contains disclosure of earnings per share excluding certain costs, a measure of performance not calculated in accordance with accounting principles generally accepted in the United States (GAAP). The first and third paragraphs of the press release contain a reconciliation of earnings per share calculated in accordance with GAAP to earnings per share excluding certain costs. Disclosure regarding management’s uses for such measure appears in the first paragraph of the press release.
