Item 2.02. Results of Operations and Financial Condition.
On February 10, 2021, Belden Inc. (the Company) issued a press release announcing its financial results for the fourth quarter 2020 and a new chief financial officer. A copy of the press release is attached as Exhibit 99.1 and is incorporated into this current report.

On February 10, 2021, the Company also announced an impending transition of chief financial officer duties from Henk Derksen to Jeremy Parks. The Company will file a Form 8-K satisfying all of the requirements of Item 5.02 (b) and (c) upon the effective date of the transition.
