Because of delays in processing certain accounting documents, the Registrant’s Report on Form 10-KSB could not be timely filed without unreasonable effort or expense.

Advanced Nutraceuticals, Inc. expects to report income from continuing operations before income taxes of approximately $2.8 million, deferred income tax expense of approximately $1.1 million and net income of approximately $1.7 million ($0.33 per share) for its fiscal year ended September 30, 2005. This compares to income from continuing operations before income taxes of $2.9 million, deferred income tax benefit of $1.3 million and income from continuing operations of approximately $4.2 million ($0.84 per share) for its fiscal year ended September 30, 2004. The 2004 results include the presentation of the operations of the Company’s ANI Pharmaceutical, Inc. segment as a discontinued operation. There were no discontinued operations for the year ended September 30, 2005. The discontinued operations reported a loss of $1.2 million ($.23 per share), after a $663,000 deferred income tax benefit for the 2004 year. After discontinued operations, net income for the year ended September 30, 2004 was $3.0 million ($0.61 per share).
