Item 1.01 Entry Into Material Definitive Agreement.
Effective August 1, 2005, the Board of Directors (the “Board”) of Orthovita, Inc. approved an amendment to its existing compensation policy with respect to members of the Board who are not employees and who undertake projects on behalf of the Board or a committee thereof that are in furtherance of the duties and obligations of the Board or such committee. The amendment provides that any member undertaking such project shall receive an amount equal to the fee paid by the Company for attendance in person at meetings of the Board, as well as reimbursement for all out-of-pocket expenses incurred by the Board member on behalf of the Company consistent with the Company’s existing expense reimbursement policies. The current fees paid by the Company to members of the Board for attendance in person at meetings of the Board is set forth in the Company’s Proxy Statement for the 2005 Annual Meeting of Shareholders.
