Item 1.01. Entry into a Material Definitive Agreement.
On January 24, 2005, at the 2005 Annual Meeting of the Shareholders of The Shaw Group Inc., a Louisiana corporation, (the "Company"), the shareholders of the Company approved an amendment to the Company’s 2001 Employee Incentive Compensation Plan, which amendment increases from 50,000 to 300,000 shares, the maximum number of shares of the Company’s common stock that may be allotted to any individual pursuant to a restricted stock award in any fiscal year.
The amendment is effective as of January 24, 2005. A copy of the Company’s 2001Employee Incentive Compensation Plan, as amended and restated through January 24, 2005, is filed as Exhibit 10.1 to this Current Report on Form 8-K, and is incorporated herein by reference to such Exhibit 10.1.
