1. Represents a Restricted Stock Unit (RSU) award granted under the Plantronics, Inc. 2003 Stock Plan, which will vest one year on the anniversary of the grant date, subject to continued employment.

2. Represents shares withheld by Plantronics, Inc. to satisfy tax withholding obligations that arose upon the vesting of the RSUs.

3. Includes 24,449 unvested RSUs. The 47,645 shares directly below are vested RSUs that were transferred to a revocable trust.
