1. Each Restricted Stock Unit (RSU) entitles the holder to one share of PRKR common stock upon vesting.

2. Shares granted on August 15, 2016 in accordance with director equity compensation program. 50% of shares vest on August 15, 2016 for 2015/2016 board service and 50% vest on August 15, 2017 for 2016/2017 board service.
