Item 1.01. Entry into a Material Definitive Agreement.
On November 2, 2022, ParkerVision entered into a patent license and settlement agreement with Hisense International Co., Ltd. (“Hisense”). In conjunction with the agreement, ParkerVision will file a motion to dismiss its patent infringement litigation against Hisense and Hisense will withdraw from the pending Patent Trial and Review Board proceedings against ParkerVision. Proceeds from this agreement will be used for ParkerVision contingent out-of-pocket legal expenses.
The Company issued a press release, which is filed herewith as Exhibit 99.1, announcing its patent license agreement with Hisense.
