3. Shares issued upon conversion of, and payment of accrued interest on, a Convertible Note dated January 8, 2020, as amended, with a face value of $50,000 and a fixed conversion price of $0.13.

4. Interest in kind paid on Convertible Notes dated January 8, 2020 and May 10, 2022.
