Explanation of Responses:

1. On October 6, 2023, 16,386 shares were transferred from the reporting person's grantor retained annuity trust (2021) to his direct ownership and 748 shares were transferred to each of the reporting person's two children in accordance with the terms of the trust instrument.

2. The reporting person disclaims beneficial ownership of these shares.

3. This amount includes shares acquired under the Company's dividend reinvestment plan, as administered by its transfer agent.

4. This amount includes shares acquired under (i) the Company's 401(k) plan since the date of the reporting person's last ownership report and (ii) the Company's dividend reinvestment plan as administered by its transfer agent.
