Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On July 27, 2007, The J. M. Smucker Company (the “Company”) entered into a consulting agreement with Mr. Richard F. Troyak, the Company’s Vice President, Operations, who retired effective August 1, 2007. Under this agreement, Mr. Troyak will provide consulting services related to the Company’s operations area, along with general business integration matters. The consulting agreement is effective August 1, 2007 and provides for a term of one year, unless earlier terminated in accordance with its terms. Under the terms of the agreement, Mr. Troyak received a consulting fee of $100,000.
