Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. |
As previously disclosed, on March 23, 2023, SigmaTron International, Inc. (the “Company”) received a letter from the Nasdaq Stock Market LLC (“Nasdaq”) indicating that, as a result of the Company’s delay in filing its Quarterly Report on Form 10-Q for the fiscal quarter ended January 31, 2023 (the “Form 10-Q”), with the Securities and Exchange Commission (the “SEC”), the Company was no longer in compliance with the timely filing requirements for continued listing under Nasdaq Listing Rule 5250(c)(1).
On May 18, 2023, the Company filed the Form 10-Q with the SEC and was subsequently notified by Nasdaq on May 19, 2023, that the Company had regained compliance under Nasdaq Listing Rule 5250(c)(1) as a result of the filing of the Form 10-Q and that this matter is now closed.
On May 22, 2023, the Company issued a press release announcing the foregoing. A copy of that press release is attached to and incorporated in this Current Report on Form 8-K as Exhibit 99.1 hereto.
