Item 8.01 Other Events.
On January 23, 2009, Health Net, Inc. (the "Company") entered into a Master Services Agreement (the "Agreement") with Cognizant Technology Solutions U.S. Corporation ("Cognizant") to outsource a substantial portion of the Company's claims processing activities to Cognizant. The Company has now executed all of the contracts for its major outsourcing projects.
Under the terms of the Agreement, Cognizant will, among other things, provide the Company with claims adjudication, adjustment, audit and process improvement services (collectively, the "Claims Processing Services"). The Company will retain responsibility for the payment of claims and the development of its claims processing policies.
The initial term of the Agreement commenced on January 23, 2009, and it ends on March 31, 2014. The Company has the right to extend the Agreement for up to two additional years.
As Claims Processing Services are transitioned to Cognizant, the Company expects that certain positions in its claims pro cessing group will be eliminated.
