Item 8.01 Other Events.
In connection with the submission of a listing application to the NASDAQ Global Market, Protection One, Inc. (the “Company”) has determined that while David A. Tanner, a member of the Company’s board of directors and audit committee, meets the independence criteria set forth in Section 10A(m)(3) under the Securities Exchange Act of 1934 (the “Exchange Act Criteria”), it is unable to conclude at this time that he is “independent” based upon the criteria set forth in the corporate governance listing standards of the NASDAQ Global Market (the “NASDAQ Listing Criteria”). In order to comply with the NASDAQ Listing Criteria, the Company now intends to avail itself of (i) NASDAQ Marketplace Rule 4350(c)(5), which provides an exception to the requirement that a majority of a listed company’s board of directors must be independent under the NASDAQ Listing Criteria if such company is a “controlled company,” and (ii) NASDAQ Marketplace Rule 4350(d)(2)(B), which provides an exception to the requirement that all audit committee members must be independent under the NASDAQ Listing Criteria if one member deemed not to be independent based upon the NASDAQ Listing Criteria meets certain other criteria, including the Exchange Act Criteria, and the board of directors determines that the individual’s membership on the audit committee is required in the best interests of the company and its shareholders.
