On March 21, 2006, the Board of Directors elected Jonathan W. Housand Jr. as a new director of MFB Corp., an Indiana corporation (“Registrant”) and of the Registrant’s subsidiary, MFB Financial (“Bank”). Mr. Housand was elected for a term expiring in 2009, and he is expected to serve on the Audit Committee of the Board of Directors of the Registrant and the Loan Committee of the Board of Directors of the Bank. Mr. Housand has nearly 30 years of experience in the banking industry and is the brother-in-law of Michael J. Marien, the Chairman of the Board of the Registrant and the Bank.
The Registrant issued a press release which was publicly disseminated on March 24, 2006 announcing the election of Mr. Housand, a copy of which is furnished herewith as Exhibit 99.1 and incorporated herein by this reference.
