ITEM 8.01 — OTHER EVENTS
On October 3, 2017, Calpine Corporation, a Delaware corporation (“Calpine” or the “Company”), issued a press release announcing the expiration of the “go-shop” period established pursuant to the terms of the Agreement and Plan of Merger, dated as of August 17, 2017, by and among the Company, Volt Parent, LP, a Delaware limited partnership (“Parent”), and Volt Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
