Explanation of Responses:

1. Award of restricted stock pursuant to Calpine Corporation's (the "Company") Amended and Restated 2008 Equity Incentive Plan. The award vests in three equal installments on the first, second and third anniversary dates of the grant date; provided, however, that if the reporting person is employed by the Company through the earlier of May 30, 2016 or the date of the 2016 annual meeting of Company shareholders, the award shall vest 100% as of such date.
