As previously disclosed, on May 3, 2018, Integra LifeSciences Holdings Corporation (the “Company”) entered into an amended and restated credit agreement with a syndicate of lending banks, led by Bank of America, N.A. that extends the senior credit facility’s maturity date to May 3, 2023 and includes a decrease in applicable interest rates and commitment fees. In addition, on May 9, 2018, the Company announced that it priced an underwritten public offering of 5,250,000 shares of its common stock at a public offering price of $58.50 per share. The Company expects to use the net proceeds to reduce outstanding revolving borrowings under the Company’s senior credit facility. The offering is expected to close on May 14, 2018. The Company’s previously released full-year 2018 GAAP and adjusted earnings per share guidance range is not impacted by the equity offering and amendment to the senior credit facility.
