Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 5, 2007, the Board of Directors of Sonoco Products Company (the “Company”) approved the adoption of amendments to Sections 1 and 2 of Article V of the Company’s Bylaws to permit the Company to issue uncertificated securities, as set forth in Section 501.00 of the New York Stock Exchange Listed Company Manual. The amendments make the Company eligible to participate in the Direct Registration System, a system administered by The Depository Trust Company, which allows an investor’s ownership to be recorded and maintained on the books of the issuer or the transfer agent without the issuance of a physical stock certificate. The Bylaws, as amended, are included with this report as Exhibit 3-2.
