The legal effect of the proposed amendment is the delivery of 1,908,980,340 new ordinary shares issued by Vale to the shareholders of Valepar in replacement of 1,716,435,045 ordinary shares and 20,340,000 preferred shares issued by Vale, currently held by Valepar, which will be cancelled as a result of the incorporation.
