Item 2.02 Results of Operations and Financial Condition.
On October 28, 2008, Peet's Coffee & Tea, Inc. (the "Company") announced via press release its financial results for the quarter ended September 28, 2008.
The press release is attached as Exhibit 99.1. The press release is furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or subject to the liabilities of that section. The information in Items 2.02 and 9.01 of this Current Report shall not be incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act.
On October 27, 2008, the Board of Directors of Peet's Coffee & Tea, Inc. authorized the Company to purchase up to one million shares of the Company’s common stock. The purchases will be made from time to time on the open market at prevailing market prices or in negotiated transactions off the market. This authorization is in addition to share repurchases of up to one million shares of the Company’s common stock previously authorized by the Board of Directors on September 6, 2006.
