Item 1.01 | Entry into a Material Definitive Agreement. |
On May 28, 2021, Motorcar Parts of America, Inc. (the “Company”) amended its Amended and Restated Revolving Credit, Term Loan and Security Agreement (as amended to date, the “Loan Agreement”) by entering into the Third Amendment to Loan Agreement (the “Third Amendment”) with D & V Electronics Ltd., Dixie Electric Ltd., and Dixie Electric Inc., as the Canadian borrowers, PNC Bank, N.A., as agent, and the financial institutions party thereto. The Third Amendment, among other things, (a) extends the maturity date of the Loan Agreement to May 28, 2026, (b) modifies the fixed charge coverage ratio financial covenant, and (c) modifies the definition of “Consolidated EBITDA”.
