Item 8.01. Other Events.
On February 21, 2006, Eagle Materials Inc., a Delaware corporation (“Eagle”), issued a press release (the “Press Release”) announcing that the Eagle Board of Directors has set a record date and a meeting date for Eagle’s Special Meeting of Stockholders for consideration of a proposal to amend Eagle’s Restated Certificate of Incorporation to eliminate Eagle’s dual class common stock structure. Holders of Eagle’s Common Stock and Eagle’s Class B Common Stock of record on February 28, 2006 will be entitled to vote on the proposal in person or by proxy at the Special Meeting of Stockholders to be held on April 11, 2006. The Press Release is filed pursuant to, and incorporated by reference in, this Item 8.01 as soliciting material pursuant to Rule 14a-12 of the Securities Exchange Act of 1934, as amended.
