Item 8.01 Other Events.
On December 29, 2004, Wave Systems Corp. (“Wave”) received notification from The Nasdaq Stock Market (“Nasdaq”) indicating that it has regained compliance with listing requirements. On September 14, 2004, Wave received notification from Nasdaq indicating that its common stock failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days as required by the Marketplace Rules of Nasdaq. Since then, the closing bid price of Wave’s common stock has been at $1.00 per share or greater for at least 10 consecutive business days. Accordingly, Wave has regained compliance with the Marketplace Rule 4450(b)(4) and this matter is now closed.
