Item 8.01. Other Events.
On September 24, 2008, Wave Systems Corp. (“Wave”) entered into a license agreement with Acer Incorporated (the “OEM”) that permits the distribution of a custom version of Wave’s Embassy® Trust Suite security software technology (the “EMBASSY Trust Suite (ETS) - Acer Computer OEM Edition”) on certain models of the OEM’s business PCs. Wave will receive a per-unit royalty based on the OEM’s shipment volumes to third parties of products equipped with the ETS Acer Computer OEM Edition. The OEM is expected to begin distributing the ETS Acer Computer OEM Edition on certain of its new business PCs in October. However, the license agreement does not provide for guaranteed minimum shipped quantities or royalties.
