Disposed of pursuant to the Agreement and Plan of Merger, dated as of February 23, 2022, by and among the Issuer, NJ Boardwalk Holdings LLC, a Delaware limited liability company ("Parent"), Boardwalk Merger Sub, Inc., a New Jersey corporation and a wholly owned subsidiary of Parent, in exchange for cash consideration of $36.00 per share of common stock of the Issuer (the "Merger Consideration") on the effective date of the merger.
