Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 25, 2008, annual bonuses for the following named executive officers were paid by the Company for the fiscal year ended January 28, 2008: Andrew F. Puzder, President and Chief Executive Officer, $535,000; E. Michael Murphy, Chief Administrative Officer, Executive Vice President, General Counsel and Secretary, $280,875; Theodore Abajian, Executive Vice President and Chief Financial Officer, $227,375; Bradford R. Haley, Executive Vice President, Marketing, $100,000; and Noah J. Griggs, Jr., Executive Vice President, Training, $100,000.
The bonuses for Messrs. Puzder, Murphy and Abajian were approved by the Company’s Board of Directors. The bonuses for Messrs. Haley and Griggs were approved by Mr. Puzder, as provided by their respective Employment Agreements.
